Terms of Service

By creating an account or using ManagedWell ("the Service"), you agree to these Terms of Service. Please read them carefully.

Plain English summary: Use the platform fairly. Don't break the law with it. We provide the service "as is" while we're building it. Either party can terminate the relationship at any time.

The Service

ManagedWell provides software-as-a-service for HOA boards, property managers, and individual property owners to manage communities, properties, financials, communications, and documents. The platform includes web applications, an AI assistant, and integrations with third-party services.

Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Service. If you create an account on behalf of an organization (such as an HOA), you represent that you have authority to bind that organization to these terms.

Accounts

You are responsible for:

Providing accurate registration information
Keeping your password secure
All activity that occurs under your account
Notifying us promptly of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these terms or engage in abusive or fraudulent behavior.

Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Upload content that infringes on others' intellectual property or privacy
Attempt to gain unauthorized access to other users' accounts or data
Reverse-engineer, scrape, or otherwise misuse the platform
Use the Service to send spam, harass others, or distribute malware
Resell or sublicense the Service without our written permission

Your Content

You retain ownership of all content you upload or create on ManagedWell, including documents, announcements, member directories, and AI conversation history. You grant us a limited license to store, process, and display your content as necessary to operate the Service.

Pricing & Payments

Pricing is published on managedwell.ai and may be updated from time to time. We will give you reasonable notice of any price changes affecting your account. Payments for paid plans are processed through Stripe. You may cancel a paid plan at any time; cancellation takes effect at the end of the current billing period.

Third-Party Services

ManagedWell integrates with third-party services including Plaid, Stripe, Google, and Anthropic. Your use of those services is governed by their respective terms. We're not responsible for outages or changes in those external services.

AI Assistant

The AI assistant generates responses based on your community's data and the underlying AI model. AI responses may be inaccurate, incomplete, or outdated. You should verify any factual or legal claims independently before relying on them, and you should not rely on the AI assistant as a substitute for professional advice (legal, financial, or otherwise).

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We are actively building this product, and you may encounter bugs or limitations.

Limitation of Liability

To the maximum extent permitted by law, ManagedWell will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim arising out of or relating to these terms or the Service will not exceed the amount you paid us in the 12 months preceding the claim, or $100 if you have not paid us anything.

Termination

You may stop using the Service at any time. We may suspend or terminate your account if you violate these terms or if continued operation poses legal or technical risk. On termination, we will provide reasonable opportunity to export your data unless prohibited by law.

Changes to These Terms

We may update these terms occasionally. When we make material changes, we will notify users by email and update the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the new terms.

Governing Law

These terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Eagle County, Colorado.
